August, 2007, the CWC and C-Com signed a 180-day Letter of Intent for the purpose of affirming the CWC’s commitment to work exclusively with C-Com to complete contract negotiations and for C-Com to obtain the necessary funding to deploy the network ($15 – 20 million). 
  • During this term, the contract negotiations were completed, however, the contract was not signed by either party. Signing of the contract is contingent upon C-Com obtaining funding for the network.
  • C-Com also committed to the CWC to provide a live technical “proof of concept” in the form of a pilot wireless implementation in one of the CWC communities.  C-Com will build a pilot area only after obtaining an initial private investment. It should also be noted that the location of the pilot may be changed with the agreement of both C-Com and the CWC. 
  • At the end of the 180 term of the Letter of Intent, C-Com requested, and was granted a 60 day extension. 
  • To date, C-Com has been unable to obtain funding. It is clear to the CWC that C-Com has been pursuing funding rigorously and making a good faith effort to build the network. 
  • The 60 day extension expired on April 7, 2008.
A board meeting of the CWC was held on Friday, April 11, 2008. Discussions were held between the Board and C-Com as well as among the Board members themselves. 
  • C-Com presented a new approach to obtain funding based on pursuit of approximately $1 million in private funding in order to build a permanent 2 square mile network in which the business model could be tested. 
  • C-Com has made representations that potential investors would like to see a small scale network based on the proposed business model prior to supporting the entire 137 square mile proposal.  
  • It was acknowledged that the CWC and C-Com have had an overall positive relationship and that the C-Com business model and vision still has merit and is worthy of consideration (including the new approach).
  • It was agreed by the Board that it was not in the best interest of the CWC to grant another blanket, exclusive Letter of Intent extension to C-Com.
  • The Board has agreed, in principle, to a letter that would support C-Com’s continued pursuit of funding and the intention of honoring the negotiated contract if funding is obtained within a certain amount of time, but would not preclude the CWC from investigating and pursuing other options.
  • During this meeting CWC discussed options moving forward and contingency plans.  More to come on this.
